Welcome to ALLY VISUAL MEDIA. By purchasing or engaging in any of our services, you agree to the following Terms of Service. Please read them carefully, as they outline the expectations, responsibilities, and policies governing our working relationship.

1. Services Covered

These Terms of Service apply to all services provided by ALLY VISUAL MEDIA, including but not limited to:

• Video production and editing

• Marketing consulting and strategy

• YouTube content management

• Social media content creation and management

• Retainer-based services for ongoing content support

• Subcontracted video production for agencies and production companies

Each service may have additional project-specific terms, which will be outlined in individual agreements or invoices.

2. Payment Terms

• All services require upfront payment before work begins. No work will commence without full payment or an agreed-upon deposit.

• Retainer services are billed monthly and auto-renew unless canceled in accordance with the cancellation policy.

• Late payments are subject to a 2% fee per month on the outstanding balance.

• No refunds will be issued for completed work, unless a billing error is proven.

3. Subscription & Retainer Agreements

• Retainer services (e.g., YouTube content management, ongoing editing, and consulting) are billed automatically each month.

• Clients must cancel before the next billing cycle to avoid being charged for the following month.

• No pro-rata refunds will be provided for mid-month cancellations.

4. Revisions & Scope of Work

• Each service includes a defined number of revisions as outlined in the service agreement.

• Any additional revisions beyond the agreed-upon limit will be billed separately.

• Requests that significantly change the original project scope may require a new quote and additional fees.

5. Turnaround Times & Deadlines

• Estimated turnaround times will be provided at the start of a project.

• Clients must provide necessary assets, feedback, and approvals on time to avoid delays.

• Delays caused by the client (e.g., late feedback, missing files) may result in extended deadlines or additional fees.

6. Client Responsibilities

• Clients must provide all necessary materials (e.g., footage, branding elements, written content) before the project starts.

• Clients must review and approve work within a reasonable timeframe. If no response is given within 7 days, the work will be considered approved.

7. File Delivery & Ownership

• Final edited videos and content are delivered in standard formats.

• Clients own the final deliverables after full payment is received.

• Project files (e.g., raw footage, working files) remain the property of ALLY VISUAL MEDIA unless otherwise agreed in writing.

8. Cancellation & Termination

• Either party may terminate a service agreement with 14 days written notice.

• If termination occurs after work has begun, payment for completed work is required.

• No refunds will be issued for subscription services already billed.

9. Confidentiality & Non-Disclosure

• Any sensitive business information shared during the course of a project will be kept confidential.

• Client materials and projects will not be shared publicly without permission, except as necessary for portfolio use.

10. Liability & Disclaimers

• ALLY VISUAL MEDIA is not responsible for lost revenue, poor performance, or any indirect damages resulting from content usage.

• The client is responsible for ensuring all materials used in content (e.g., music, images, branding elements) do not infringe on copyright laws.

11. Dispute Resolution

• Any disputes shall first be resolved through negotiation.

• If unresolved, disputes will be handled through arbitration in Fort Lauderdale, Florida, under applicable laws.

• We reserve the right to update these terms at any time.
